| Course outline |
This course aims to explore some characterised regimes of company law from the comparative perspective. Each class particularly deals with European company law in terms of "centralised company law" at European Union (EU) level for its integration and of "decentralised company law" at Member State level for its autonomy/Community's subsidiarity. Before moving on to specific topics of company law, some time will be devoted to the lecture of basic EU legislative and judicial systems, a function of case law, relationships between EU law/jurisprudence and Member State national law/jurisprudence, etc. Comparison is not limited to between the Member States of EU. Depending on students' interests and enthusiasm, this can extend to Japanese or students home country's counterparts. |
| Course objective |
As noted above, each student is expected to have not only general information and knowledge about EU and its company law (including company law at Member State level), but also nature and purpose of the systems under the legislation from the comparison with some other country's regimes. |

| Evaluation | A good attendance and attitude are expected. Presentations are to be given at least once during the course and discussions in each class will affect overall assessment. |
| Prerequisites | Expected students should show a strong interest in the topics, an enthusiasm for study and active participation in the classes. Each student is required to make a presentation at least once during the course. |
